1. Definitions

"Codevisto" refers to the software development activity analysis service operated by Teva Software S.L.U ("we", "our", or "the Company"), a company established in Spain.
"Customer" means the legal entity that subscribes to and uses the Service. "User" refers to any individual authorized by the Customer to access the Service under its account.
The "Service" consists of the Codevisto platform, including its dashboards, analytics, integrations, and related functionalities. "Data" refers to the technical metadata, analysis results, and organizational information processed through the Service.

2. Service Description

Codevisto is an engineering intelligence platform that analyzes software development activity. The Service connects to code repositories (GitHub, GitLab, Bitbucket) to extract technical metadata—commits, pull requests, reviews—and generate insights on effort, quality, and trends.
The Service operates exclusively on metadata and derived analytical results. Codevisto does not store source code, file contents, or complete copies of repositories. Any temporary access for processing is limited and removed once analysis is completed.

3. Accounts and Access

Access to the Service is granted at the organizational level. The Customer is responsible for managing its Users, including granting and revoking access and ensuring that all Users comply with these Terms.
Users are responsible for maintaining the confidentiality of their credentials and for all activities carried out under their accounts. Any unauthorized use or suspected security breach must be reported without undue delay.
Access to the Service is subject to the existence of an active commercial agreement and may be limited according to the terms of that agreement.

4. Data Processing

In accordance with applicable data protection laws, the Customer acts as the Data Controller and Teva Software S.L.U acts as the Data Processor.
The Company processes Data solely for the purpose of providing the Service. This includes repository metadata, analytical results, organizational information such as names and email addresses, and access logs necessary for security and auditing purposes.
Codevisto does not process or store source code. Temporary access to repository data may occur during analysis, but such data is not retained after processing.
A Data Processing Agreement (DPA) is available here and forms part of the contractual relationship between the parties.

5. Integrations

The Service relies on integrations with third-party providers. The Customer is solely responsible for granting appropriate permissions and maintaining valid credentials for such integrations.
The Company shall not be liable for any interruption, limitation, or malfunction resulting from third-party services, including but not limited to API changes, outages, or access restrictions imposed by such providers.

6. Subscription and Billing

The Service is provided under a commercial agreement, typically based on the number of developers analyzed, and may be billed on a monthly or annual basis.
Unless otherwise agreed in writing, all fees are payable in advance and are non-refundable, except where required by applicable law. The Company reserves the right to suspend access to the Service in the event of non-payment.

7. Trials

From time to time, the Company may offer trial access to the Service. Such trials are provided on a temporary basis and may be limited in functionality. The Company reserves the right to modify or discontinue trial access at any time without prior notice.
No warranties or guarantees are provided in relation to trial access.

8. Acceptable Use

The Customer agrees to use the Service in compliance with applicable laws and regulations. The Customer shall ensure that it has all necessary rights and legal bases to connect repositories and process any personal data through the Service.
The Customer shall not attempt to gain unauthorized access to the Service, interfere with its operation, or access data belonging to other customers.

9. Intellectual Property

All rights, title, and interest in and to the Service, including its software, algorithms, methodologies, and documentation, remain the exclusive property of Teva Software S.L.U.
The Customer retains ownership of its Data. By using the Service, the Customer grants the Company a limited, non-exclusive license to process such Data solely for the purpose of providing the Service.
Any analytical outputs generated from Customer Data belong to the Customer, without affecting the Company's ownership of the underlying systems and methodologies.

10. Service Availability

The Company shall use reasonable efforts to maintain the availability and proper functioning of the Service. However, the Service is provided on a best-effort basis, and no guarantee is made that it will be uninterrupted or error-free.
The Service may be temporarily unavailable due to maintenance, technical issues, or failures of third-party providers.
The Company aims to make monthly analytics available by the fifth day of the following month. This is a target and may be affected by technical factors or third-party dependencies.

11. Metrics and Use of Insights

Codevisto provides automated metrics and insights based on available data. While these outputs may be used by the Customer as part of its internal processes, they are inherently limited and may not reflect all relevant factors.
Accordingly, such metrics and insights should not be relied upon as the sole basis for decisions affecting individuals or business outcomes. The Customer remains solely responsible for any decisions made based on the Service.

12. Continuous Improvement and Algorithm Changes

The Company continuously develops and improves the Service. This includes modifications to how metrics are calculated, as well as updates to models, methodologies, and analytical approaches.
As a result, outputs generated by the Service may change over time, and consistency between historical and current results is not guaranteed.

13. Data Accuracy

The Service depends on external data sources and automated processing. While reasonable efforts are made to ensure reliability, the Company does not guarantee the completeness, accuracy, or timeliness of any data or results.
Errors, delays, or inconsistencies may occur.

14. Security

The Company implements appropriate technical and organizational measures to protect Data. However, no system can be considered completely secure, and the Customer acknowledges the inherent risks associated with cloud-based services.

15. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, data, or business opportunities.
In any event, the total liability of the Company shall be limited to the amount paid by the Customer for the Service in the twelve months preceding the event giving rise to the claim.

16. Termination

The Customer may terminate the Service in accordance with the terms of the applicable commercial agreement.
The Company reserves the right to suspend or terminate access to the Service in the event of breach of these Terms, non-payment, or misuse of the Service.

17. Force Majeure

The Company shall not be held liable for any failure or delay in the performance of its obligations due to events beyond its reasonable control, including but not limited to infrastructure failures, cyberattacks, natural events, or third-party service disruptions.

18. Changes to the Terms

The Company may update these Terms from time to time. Continued use of the Service after such updates shall constitute acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain. Any disputes arising in connection with these Terms shall be subject to the jurisdiction of the courts of Spain, unless otherwise required by applicable law.
